• VisuateInc reviews a large number of submissions and may be evaluating, or may have previously evaluated, companies in similar spaces. The submission of materials does not create any obligation of confidentiality on the part of VisuateInc unless a separate written non-disclosure agreement is executed.
• We recommend that you do not include information in your initial outreach that you consider to be highly confidential or proprietary. If you wish to discuss sensitive information, please request a non-disclosure agreement before submitting such materials.
• VisuateInc may share submitted materials with advisors, co-investors, and other parties in connection with investment evaluation, subject to appropriate confidentiality arrangements.

10. Indemnification

You agree to indemnify, defend, and hold harmless VisuateInc and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including without limitation any use of the Site's content other than as expressly authorized in these Terms.

11. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice-of-law or conflict-of-law provisions.

Any legal action or proceeding arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in San Francisco County, California. You hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such proceeding in such courts.

For any disputes that cannot be resolved through good-faith negotiation between the parties, you agree to attempt mediation before initiating formal legal proceedings. Notice of a dispute must be provided to VisuateInc at legal@visutateinc.com before any formal proceedings are commenced.
